END USER LICENCE AGREEMENT (EULA) FOR REAFECTO

Version date: 17 September 2026

This End User Licence Agreement (the “EULA” or the “Agreement”) is a contract between the natural or legal person who downloads, installs, activates or uses ReAfecto (the “User”) and AFECTIVO TECHNOLOGIES, S.L., with Spanish Tax Identification Number (NIF) B22918460 and its place of business and contact address at Vivero de Empresas de Carabanchel, Calle Cidro 3, 28044 Madrid, Spain (“AFECTIVO” or the “Licensor”)

The User must read this Agreement in full before downloading, installing, activating or using the Software. Electronic acceptance, installation, activation or use of the Software, after the User has had an effective opportunity to consult, save and reproduce this EULA, constitutes acceptance of its terms. If the User does not accept them, the User must not install or use the Software.

If the User acts on behalf of a company or other legal entity, acceptance of this Agreement means that the User has sufficient authority to bind that entity. Without such authority, the User may not accept the EULA or use the Software on the entity’s behalf.

1. Definitions

1.1. “AFECTIVO” or “Licensor” means AFECTIVO TECHNOLOGIES, S.L., identified at the beginning of this Agreement.

1.2. “User” means the natural person who accepts the EULA and uses the Software and, where that person validly acts on its behalf, the legal entity that the person represents.

1.3. “Consumer” means a User acting for purposes outside that User’s trade, business, craft or profession, in accordance with applicable law.

1.4. “Software” or “ReAfecto” means the free and promotional version of the ReAfecto application, including its command-line tool, interfaces, proprietary code distributed in executable or object-code form, documentation, starter graphs and any updates supplied by AFECTIVO under this EULA. It does not include components subject to separate licences or Third-Party Services.

1.5. “Open Source Components” means code, including certain integrated nodes, distributed with an open-source licence notice, including the MIT Licence.

1.6. “User Materials” means the audio, data, text, images, code, instructions, models, files and other content that the User inputs, connects or processes using the Software. “Outputs” means the content, files, workflow graphs and other results generated by the User through use of the Software.

1.7. “Third-Party Services” means applications, platforms, plug-ins, libraries, interfaces, models or services not owned or controlled by AFECTIVO with which ReAfecto may interoperate, including tools optionally connected through Model Context Protocol (MCP).

1.8. “Moonbase” means the external platform used to manage and activate ReAfecto licences.

1.9. “Data Protection Legislation” means Regulation (EU) 2016/679 (GDPR), Spanish Organic Law 3/2018 (LOPDGDD), the legislation governing privacy in electronic communications and information society services, and any other European Union or Spanish provision applicable to the processing of personal data.

2. Purpose, scope and acceptance

2.1. The purpose of this EULA is to govern the licence to use ReAfecto and the terms applicable to its download, installation, activation and use. The Software is licensed, not sold, and no ownership in it is transferred.

2.2. This EULA applies exclusively to ReAfecto as a free and promotional product. It does not govern Afecto, any future commercial versions, paid licences, professional services, hosting, contracted maintenance or other paid services, which will be subject to specific terms.

2.3. Businesses, institutions or studios requiring mass deployment, offline activation, guaranteed technical support or service level agreements (SLAs), shared or server use, or liability limits tailored to critical production environments must contact info@afectivo.es to request a commercial B2B licence. If AFECTIVO offers such an arrangement, it will be governed exclusively by its own terms.

2.4. This Agreement also applies to updates, supplements, documentation and support services for ReAfecto supplied by AFECTIVO, unless they are accompanied by specific terms, in which case those specific terms will prevail in relation to the particular item to which they apply.

2.5. Acceptance will be effective only if the EULA has been made available to the User, clearly and accessibly and in a form that can be stored and reproduced, before activation. AFECTIVO may retain evidence of the version accepted, the date and time of acceptance and its technical identifier.

2.6. The User represents that the User has sufficient legal capacity to enter into this Agreement. If the User acts on behalf of an entity, the User represents that the User has sufficient authority to bind it.

2.7. Mandatory provisions of law, and in particular consumers’ non-waivable rights, will prevail over any incompatible provision of this EULA.

3. Functional description and operating environment

3.1. ReAfecto is a visual, node-based application for creating and automating workflows relating to REAPER and ReaScript. Depending on the version available, it may include a visual drag-and-drop editor, undo, redo, copy and paste functions, preview and logging, command-line execution, integrated nodes and customisable starter graphs.

3.2. The Software may allow workflows to be run automatically or in batches through its command-line tool, provided that this takes place on duly activated devices and within the limits of the free licence.

3.3. The first public version governed by this EULA does not incorporate any generative artificial intelligence model or any integrated connection to cloud-based artificial intelligence services. ReAfecto provides only technical compatibility that allows the User to connect third-party tools voluntarily through MCP.

3.4. ReAfecto operates locally: workflows, User Materials and Outputs are processed on the User’s device. Only licence activation and management through Moonbase, support requests initiated by the User and external connections voluntarily configured by the User may require communications over the Internet, in accordance with Clauses 10 to 12.

3.5. The User is responsible for checking that the User’s hardware, operating system, REAPER version, dependencies, permissions and connectivity meet the technical requirements published for the version being used.

3.6. As ReAfecto is free and promotional, its functions may evolve in accordance with Clause 13, without prejudice to any applicable statutory conformity obligations.

4. Grant of licence

4.1. Subject to compliance with this EULA, AFECTIVO grants the User a free, worldwide, non-exclusive, personal, non-transferable and non-sublicensable licence to download, install and use ReAfecto for the term of the Agreement.

4.2. Each licence allows the Software to be activated and used on a maximum of two devices under the User’s control, for the User’s own personal or professional use. Activation is individual and requires a valid email address.

4.3. Where the User is an entity, each authorised natural person who uses the Software must have a separate licence or activation and must accept this EULA, unless AFECTIVO has agreed a different arrangement in writing. Credentials and a single activation may not be shared by multiple users.

4.4. As at the date of this version, the User may request additional free licences using the same email address. This operational option does not constitute a permanent entitlement or a multi-user licence. AFECTIVO may introduce reasonable future limits on the number of free licences associated with the same address, subject to prior notice in accordance with Clause 13.6.

4.5. The User may make the technical and backup copies necessary for the lawful use of the Software and exercise any other rights that cannot be excluded by contract under the legislation governing computer programs.

4.6. The licence may be revoked only on the grounds and with the safeguards set out in this Agreement. No rights are granted other than those expressly provided for or those which arise as a matter of mandatory law.

5. Permitted uses and Outputs

5.1. The User may create, edit, run, reuse and store workflows; process audio and data; and use the automation and command-line functions in personal or professional projects.

5.2. The User may create custom nodes in Python and modify Open Source Components in accordance with the licence applicable to each component.

5.3. The User may use and commercially exploit the User’s Outputs and projects without paying additional licence fees or royalties to AFECTIVO for such use, without prejudice to third-party rights and the licences applicable to any incorporated components.

5.4. The User may share workflows created by the User, provided that the User does not redistribute the proprietary core of the Software, independently extract or commercialise AFECTIVO’s proprietary elements, or breach any applicable open-source or third-party licence.

5.5. A lawful user may observe, study or test the operation of the Software and carry out the acts indispensable to achieve interoperability in the circumstances and subject to the conditions permitted by mandatory intellectual property legislation.

6. Licence and use restrictions

6.1. Unless authorised in writing by AFECTIVO or expressly permitted under a mandatory provision of law, the User may not reproduce, distribute, sell, resell, rent, lease, lend, assign, sublicense or make the proprietary core of the Software available to third parties.

6.2. The User may not offer the Software as a service, managed service, shared environment, server or service bureau arrangement that allows third parties to access its functions, or undertake mass deployments or offline activations, except under a commercial B2B licence or with AFECTIVO’s written authorisation.

6.3. The User may not decompile, disassemble, reverse engineer, translate the code or attempt to obtain the source code of the proprietary core, except to the extent that such acts are expressly permitted by mandatory legislation.

6.4. The User may not circumvent or manipulate the activation systems, the two-device limit per licence, any limits on licences per email address, security mechanisms, access controls or licence notices, or use credentials or keys that do not belong to the User.

6.5. The User may not remove, conceal or alter any authorship, copyright, licence, attribution, trade mark or other proprietary notice incorporated into the Software or its documentation.

6.6. The User may not use ReAfecto to infringe the law, third-party rights, trade secrets, confidentiality obligations or security measures; introduce malware; obtain unauthorised access; impersonate others; harass; defraud; deceive; or cause harm to persons, systems or networks.

6.7. The Software has not been designed, tested or authorised as a safety component of regulated products, critical infrastructure, medical devices or other environments in which a failure could cause death, personal injury, serious damage, disruption of essential services or a significant adverse effect on rights. Such uses require a specific assessment and a separate written commercial agreement.

6.8. The restrictions in this Clause will be interpreted without prejudice to the statutory limitations on intellectual property rights and the rights of a lawful user to make a backup copy, study the program and achieve interoperability.

7. Intellectual property and open-source components

7.1. AFECTIVO or its licensors retain all intellectual property rights in the proprietary core of ReAfecto, its code, architecture, interfaces, visual design, documentation, starter graphs and other original elements, including any updates and modifications.

7.2. This EULA does not transfer to the User ownership of the Software or any intellectual property rights in it. It grants only the limited right of use defined in Clauses 4 and 5.

7.3. Certain nodes and other components may be distributed under the MIT Licence or other open-source licences. Those components will be governed exclusively by their licence notices and terms, which will prevail over this EULA in relation to the relevant component. Nothing in this Agreement restricts the rights granted under those licences.

7.4. Third-party components, libraries or resources remain subject to their respective ownership and legal terms. The User must retain attribution notices and comply with their licences.

7.5. AFECTIVO may voluntarily incorporate non-confidential suggestions or comments about the Software submitted by the User. For this purpose, the User grants AFECTIVO a non-exclusive, worldwide, royalty-free, sublicensable and perpetual licence to use them for improvement purposes, without any obligation to identify or remunerate the User.

8. Trade marks and other distinctive signs

8.1. The names Afecto, ReAfecto and AFECTIVO, their logos, trade names, domain names, trade dress and other associated distinctive signs belong to AFECTIVO or its licensors and are protected by applicable law, whether or not registered.

8.2. The Software licence grants no rights in those signs. The User may use them only in a nominative, truthful manner and to the extent strictly necessary to identify the Software’s compatibility or origin, without creating any likelihood of confusion, association, sponsorship or endorsement.

8.3. The User may not register or use signs, domains, profiles, metadata or names that are identical or confusingly similar to those of AFECTIVO, or impair their distinctive character or reputation.

8.4. The REAPER trade marks and the trade marks of other third-party products or services belong to their respective owners. Their mention describes compatibility or integration only and does not imply affiliation, sponsorship or endorsement.

9. User Materials, Outputs and third-party rights

9.1. The User retains all rights held by the User in the User Materials and Outputs. AFECTIVO does not acquire ownership of them merely because the Software is used locally.

9.2. The User represents that the User holds all rights, authorisations, licences, lawful bases and consents necessary to input, process, transform and exploit the User Materials and Outputs for the intended purpose.

9.3. Before publishing, distributing or exploiting the Outputs, the User must check whether they incorporate protected elements, personal data, trade secrets, licences, notices or restrictions originating from third-party tools and Third-Party Services and must comply with the terms applicable to them.

9.4. Where the User voluntarily sends files, logs or examples to AFECTIVO for support or diagnostic purposes, the User grants AFECTIVO limited, non-exclusive and temporary permission to access and process them solely to the extent necessary to deal with the request. If such access involves AFECTIVO processing personal data on the User’s behalf, the parties will first put in place the terms required by Article 28 of the GDPR, where applicable.

9.5. The User must maintain appropriate backup copies of the User Materials, workflows and Outputs. ReAfecto is not a data safekeeping, archiving or recovery service.

10. MCP connections and third-party tools

10.1. The version of ReAfecto governed by this EULA does not incorporate or supply a generative artificial intelligence model or a cloud-based artificial intelligence service. Mere compatibility through MCP does not make ReAfecto the provider of any model, agent or tool that the User chooses to connect.

10.2. The User may voluntarily configure connections through MCP with local or external third-party tools. The User selects the third party, authorises the connection, determines its permissions and is responsible for the applicable costs, accounts, keys and subscriptions.

10.3. Connected tools are governed by their own terms of use, privacy policies and intellectual property rules. Technical compatibility with ReAfecto does not constitute a recommendation, sponsorship or warranty by AFECTIVO in relation to the third party.

10.4. The User will decide which User Materials are disclosed to each tool and must ensure that the User has sufficient lawful basis, rights and authorisations. The User must not transmit personal data, confidential information, trade secrets or third-party content without the necessary safeguards.

10.5. The User must review the instructions, permissions, actions and outputs of connected tools before using or executing them, maintain proportionate human oversight and retain backup copies, particularly before irreversible operations or operations with a material impact.

10.6. Where a connected tool is an artificial intelligence system, each party will comply with the obligations applicable to it under Regulation (EU) 2024/1689 and any other applicable legislation, having regard to its role and the actual use. This EULA does not alter the roles assigned by law or authorise prohibited practices or uses contrary to the intended purpose of the third-party system.

11. Third-party services, software and trade marks

11.1. ReAfecto may interoperate with REAPER, ReaScript, Moonbase, applications, libraries, plug-ins, APIs and other third-party products or services. The User must obtain and maintain all licences, accounts, subscriptions, keys and permissions required to use them.

11.2. Third-Party Services are governed by their own terms. Their providers may modify, restrict, suspend or withdraw their services or interfaces, which may affect ReAfecto’s compatibility or operation and may be beyond AFECTIVO’s control.

11.3. The User must safeguard the User’s keys, tokens and credentials and avoid incorporating them into shared workflows, logs or files accessible to third parties. AFECTIVO will not be liable for their disclosure as a result of any configuration or action attributable to the User.

11.4. AFECTIVO is not responsible for the availability, security, legality, accuracy, prices, results or processing undertaken exclusively by third parties selected or used by the User. This exclusion does not extend to any obligations or liability arising from AFECTIVO’s own acts or omissions or which cannot be excluded under a mandatory provision of law.

12. Activation, privacy and data protection

12.1. ReAfecto does not incorporate telemetry and does not collect or transmit to AFECTIVO the User’s workflows, User Materials, Outputs or project information merely through use of the Software. Its ordinary operation and the processing of such content take place locally.

12.2. Licence activation and management take place through Moonbase and require an email address. Moonbase may process the email address, IP address and the technical information required to register and activate devices, among other data, in accordance with its privacy policy, available at https://moonbase.sh/privacy-policy/, and its terms for buyers, available at https://help.moonbase.sh/articles/3131239-general-terms-and-conditions-for-buyers.

12.3. Moonbase’s terms are separate from this EULA. The data protection roles and responsibilities of Moonbase and AFECTIVO will be determined by the functions each actually performs, their applicable agreements and the law; this EULA does not replace the information that each controller is required to provide.

12.4. AFECTIVO will process any registration, acceptance, licence, contact, support and security data that it receives or determines in order to manage this EULA, respond to requests, prevent abuse, comply with legal obligations and issue essential notices. Such processing will be governed by the Data Protection Legislation and AFECTIVO’s Privacy Policy, available at https://www.afecto.io/privacy-policy/.

12.5. The email address used for activation may be used for advertising, commercial profiling and promotional communications only where separate, freely given and revocable consent has been obtained. Refusal or withdrawal of such consent will not prevent use of a valid licence or receipt of strictly necessary communications.

12.6. If the User configures a connection through MCP or another external link, the selected User Materials may be transmitted directly to the chosen tool. The User must review the third party’s privacy policy and terms, its use and retention of inputs and outputs, its security measures and any international transfers.

12.7. If the User voluntarily sends information to AFECTIVO for support, it will be processed only to deal with the request and for the period necessary or required by law. Where AFECTIVO is required to process personal data on the User’s behalf, the parties will first enter into the relevant agreement if required.

12.8. If a future update introduces telemetry, automatic error reporting, synchronisation, hosting, remote access or other communications that are not strictly necessary for the requested function, AFECTIVO will provide advance notice, update the privacy information and obtain consent where required by Data Protection Legislation or electronic privacy rules.

12.9. The User may exercise the rights granted under Data Protection Legislation through the channels specified in the privacy policy or by writing to info@afectivo.es. The User may also lodge a complaint with the Spanish Data Protection Agency or the competent supervisory authority.

13. Support, maintenance, updates and changes

13.1. AFECTIVO will use reasonable endeavours to provide support by email at info@afectivo.es or through any channels it announces. The free licence does not include a response time, guaranteed availability, resolution of every issue or a service level agreement (SLA). Any guaranteed support will require a separate B2B commercial licence or agreement.

13.2. AFECTIVO may provide fixes, patches, updates or new versions. The User must install security and compatibility updates within a reasonable period and retain backup copies before updating.

13.3. Where consumer legislation applies, AFECTIVO will supply the updates, including security updates, necessary to maintain conformity for the period required by law and will inform the User of the consequences of failing to install them.

13.4. AFECTIVO may modify ReAfecto for valid reasons relating to security, bug fixes, legal compliance, technological changes, interoperability, the evolution of third-party services, functional improvements, abuse prevention or product sustainability. Changes to the free version will not involve any additional charge to the User.

13.5. Where a change materially and adversely affects a Consumer’s access to or use of the Software, AFECTIVO will provide the information and rights required by applicable legislation, including the right to terminate where applicable.

13.6. Material amendments to this EULA will be communicated with reasonable advance notice by email or on another durable medium and will apply prospectively. AFECTIVO will seek renewed acceptance where the nature of the change so requires. Urgent measures required by law or by a security risk may be implemented immediately, with information provided afterwards as soon as possible.

13.7. AFECTIVO may discontinue the development, maintenance or distribution of ReAfecto by giving at least thirty days’ prior notice. A shorter notice period or immediate withdrawal may apply where necessary because of a legal obligation, a security risk, the withdrawal of an essential third-party dependency or a supervening technical impossibility beyond AFECTIVO’s reasonable control. Withdrawal will not prevent the User from retaining the User’s local files or affect the User’s mandatory rights.

14. Term, suspension and termination

14.1. This EULA enters into force when accepted by the User and remains in effect until terminated.

14.2. The User may terminate this EULA at any time by ceasing to use the Software, uninstalling it and deleting the copies under the User’s control, without prejudice to the User’s right to retain the User’s Outputs and own files.

14.3. AFECTIVO may suspend activation or terminate the licence if the User materially breaches this EULA, uses the Software unlawfully, infringes third-party rights, compromises security, manipulates activation or provides fraudulent data.

14.4. Unless the breach cannot be remedied or requires immediate action, AFECTIVO will notify the User of the breach and allow ten calendar days for it to be remedied. AFECTIVO may suspend the licence immediately where there is a reasonable risk to persons, rights, systems, networks or third parties.

14.5. The licence will terminate automatically if the User fails to remedy the breach within the period allowed or commits an irremediable breach. It may also terminate if the product is withdrawn in accordance with Clause 13.7.

14.6. Following termination, the User must cease using the Software and delete any copies of the proprietary core under the User’s control. AFECTIVO may deactivate the licence, and related data will be processed in accordance with Clause 12 and the retention periods required by law.

14.7. Termination will not affect the User’s rights in the User Materials and Outputs or any Clauses which by their nature are intended to survive, including those relating to intellectual property, liability, confidentiality, governing law and dispute resolution.

15. Warranties, conformity and promotional nature

15.1. ReAfecto is provided free of charge and for promotional purposes. To the fullest extent permitted by law, it is provided “as is” and “as available”, without any commercial warranties in addition to those expressly given by AFECTIVO.

15.2. AFECTIVO does not warrant that the Software will operate without interruption or errors, meet all of the User’s particular requirements, be compatible with every third-party version or configuration, or produce Outputs that are accurate, unique or fit for a particular purpose not expressly agreed.

15.3. A User acting for business or professional purposes must evaluate the Software in a safe environment before using it in production, verify the User’s workflows and Outputs, maintain backup copies and apply controls proportionate to the impact of a potential failure.

15.4. Nothing in this Clause excludes any statutory warranties, conformity requirements, updates, remedies, compensation or other non-waivable rights available to Consumers or other Users.

15.5. Where a right of withdrawal applies, it will be lost as a result of the immediate commencement of the supply of digital content only if AFECTIVO has first obtained the express consent and acknowledgement required by law and has provided confirmation of the contract on a durable medium.

16. Limitation of liability

16.1. Nothing in this EULA excludes or limits liability for fraud or wilful misconduct; gross negligence where liability for it cannot be limited; death or personal injury; any infringement of intellectual property rights or breach of confidentiality attributable to AFECTIVO; or any other liability that cannot be excluded or limited under a mandatory provision of law.

16.2. In relation to Consumers, AFECTIVO’s liability will be governed by applicable mandatory legislation. No exclusion or limitation that improperly restricts their statutory rights in relation to lack of conformity, breach or damage attributable to AFECTIVO will be enforceable against them.

16.3. In relation to Users acting in the course of their business or professional activities, and to the fullest extent permitted by law, AFECTIVO will not be liable for indirect or consequential loss, loss of profits, business, production, opportunities, reputation or data that is not a direct, reasonably foreseeable consequence of a breach attributable to AFECTIVO.

16.4. In relation to business or professional Users, AFECTIVO’s total aggregate liability arising out of the Software or this EULA will be limited to one hundred euros (EUR 100). This limit will not apply in any circumstance in which liability cannot be limited under Clause 16.1 or a mandatory provision of law.

16.5. The User must take reasonable steps to avoid or mitigate damage, maintain backup copies and refrain from using the Software in unauthorised critical environments. AFECTIVO’s liability will be reduced to the extent that the damage arises from the User’s configuration, User Materials, hardware, failure to update or acts or omissions, or from those of third parties.

16.6. AFECTIVO will not be liable for failures, suspensions, changes, results or processing attributable to Third-Party Services, unless the loss arises from AFECTIVO’s own acts or omissions for which it is liable by law.

16.7. Neither party will be liable for any delay or failure to perform caused by unforeseeable or unavoidable events beyond its reasonable control, without prejudice to any obligations that continue to apply by law.

16.8. Where the User acts in the course of a business or profession, the User will indemnify and hold AFECTIVO harmless against third-party claims arising from unlawful User Materials, a lack of rights or consents, or use of the Software in breach of this EULA, provided that AFECTIVO notifies the User of the claim, allows the User to participate reasonably in the defence and does not enter into any settlement that imposes obligations on the User without the User’s consent. This provision does not apply to Consumers.

17. Free licence, costs, taxes and professional use

17.1. The ReAfecto licence governed by this EULA is free of charge. AFECTIVO does not require payment of any price, licence fee or share of revenue obtained by the User through the Outputs.

17.2. The email address required to activate the licence will be processed for the necessary purposes set out in Clause 12 and not as consideration for advertising or profiling. Any subscription to marketing communications will be optional and require a separate lawful basis.

17.3. The User will bear the costs of any hardware, electricity, connectivity, storage, licences, subscriptions, APIs and Third-Party Services that the User chooses to use, as well as any taxes, charges and accounting or tax obligations arising from the User’s own activities or exploitation of the Outputs.

17.4. This EULA does not grant any entitlement to mass deployment, offline activation, an SLA, guaranteed support or terms tailored to critical environments. If AFECTIVO offers Afecto, a commercial B2B licence, paid functions or professional services, their price, tax treatment, invoicing, users, devices, term, support, warranties and liability will be governed by a separate agreement.

17.5. This EULA does not create any employment, partnership, agency, franchise, representation, commission or association relationship between AFECTIVO and the User.

18. Security and vulnerability reporting

18.1. The User must protect the User’s devices, accounts, credentials and copies; apply updates; restrict privileges; review nodes and scripts before running them; and adopt measures appropriate to the sensitivity of the User Materials.

18.2. The User must not disclose a vulnerability publicly without allowing AFECTIVO a reasonable period to analyse and remedy it, unless the law, a competent authority or an imminent risk requires otherwise. Security reports must be sent to info@afectivo.es and include only the information necessary for their analysis.

18.3. This Clause does not prevent good-faith security research or the exercise of rights recognised by mandatory provisions of law, provided that harm, unnecessary access, exploitation, extortion and disclosure of third-party data are avoided.

19. General provisions

19.1. This EULA, together with the documentation incorporated by reference and any applicable specific terms, constitutes the entire agreement concerning ReAfecto and supersedes any previous understandings relating to the same subject matter.

19.2. In the event of conflict, open-source licences will prevail in relation to their components; the Privacy Policy will govern AFECTIVO’s processing of data; third-party terms will govern their services; and specific terms accepted by the User will prevail over this EULA in relation to their particular subject matter. Mandatory provisions of law will prevail in all cases.

19.3. The User may not assign this EULA without AFECTIVO’s written consent. AFECTIVO may assign it as part of a reorganisation, merger, acquisition or transfer of the business or the Software, subject to prior notice where required and without reducing the User’s mandatory rights.

19.4. If any provision is found to be void, invalid or unenforceable, it will be treated as deleted or interpreted only to the minimum extent necessary to preserve its lawful purpose, and the remainder of the Agreement will continue in effect where it is capable of doing so without that provision.

19.5. A failure or delay in exercising any right will not constitute a waiver. Any waiver must be express and will be limited to the specific circumstances in which it is given.

19.6. Notices may be sent to the email address associated with activation, within the Software or on the official website. Where the law requires a durable medium or a specific notice period, AFECTIVO will use a method that allows the notice to be retained and reproduced.

19.7. The Spanish version of this EULA will prevail in the event of any discrepancy with a translation, unless a later version expressly identifies another language as binding or a mandatory provision of law provides otherwise.

19.8. Headings are included for ease of reference and do not limit the content of the Clauses.

20. Governing law and jurisdiction

20.1. This EULA will be governed by and construed in accordance with the laws of the Kingdom of Spain, without prejudice to mandatory European Union provisions and any protective rules applicable to the User by reason of the User’s residence or status.

20.2. Where the User is a Consumer, any dispute will be submitted to the courts having jurisdiction under mandatory legislation, including the courts of the Consumer’s place of residence where applicable.

20.3. Where the User acts in the course of a business or profession, the parties expressly submit to the jurisdiction of the courts of the city of Madrid and waive any other jurisdiction to which they might otherwise be entitled, unless another jurisdiction applies as a matter of mandatory law.

20.4. Before commencing court proceedings, the parties will seek in good faith to resolve the dispute for a period of thirty days following receipt of written notice. This will not suspend any limitation period or time bar or prevent either party from seeking urgent relief.
